Fraser Valley Cornhole ("FVC," "the Club") is a community cornhole club based in Langley, BC, Canada, operating as a league in alignment with the British Columbia Cornhole Association and Cornhole Canada. These bylaws set out how the Club is organized and governed.
The name of the club is Fraser Valley Cornhole. The Club is currently incorporated as "BC Cornhole Association" — a name change to Fraser Valley Cornhole is in progress — and is a separate organization from the provincial British Columbia Cornhole Association. The Club is a self-governing, not-for-profit community league run by a volunteer Board of Directors. It operates as a member league under the British Columbia Cornhole Association and abides by the playing rules, regulations, and policies of Cornhole Canada.
Our purpose is to promote the growth, integrity, and enjoyment of cornhole in the Fraser Valley in a welcoming, inclusive, family-friendly environment. Our objectives are to:
The Club operates in alignment with the British Columbia Cornhole Association. Where these bylaws are silent or in conflict, the Articles, Bylaws, Regulations, and Playing Rules of the British Columbia Cornhole Association and Cornhole Canada prevail. The Club will not adopt any bylaw, rule, or policy that conflicts with those of the British Columbia Cornhole Association.
Membership is open to individuals who register with the Club, pay any applicable dues, and agree to abide by these bylaws and the rules of the Club. Members must be Registered Participants of the British Columbia Cornhole Association to compete in sanctioned play.
A member may resign at any time in writing. The Board may suspend or expel a member who seriously or repeatedly breaches these bylaws, the playing rules, or the standards of the sport, or who brings the Club into disrepute. The member will be given notice and an opportunity to be heard before the Board makes a final decision.
The Club is governed by a volunteer Board of Directors made up of the following officers and directors:
To serve on the Board, a person must be at least 18 years old, a member of the Club, and free of any conflict of interest with their Board role. No person may hold more than one officer position at a time.
Board service is voluntary and unpaid. Directors serve without remuneration for their governance role, though they may be reimbursed reasonable expenses and may be compensated for distinct, non-governance work approved by the Board.
The Chairman is an appointed, continuing officer who provides organizational continuity and oversees the wider operation of the Club, and works alongside the elected President and officers. The Chairman is not subject to the regular election cycle and provides continuity across terms. The Chairman may be removed by a two-thirds vote of the Board of Directors at a meeting called for that purpose, with notice and an opportunity to be heard.
The Vice Chairman is likewise an appointed, continuing officer who supports the Chairman in providing continuity and developing the wider operation of the Club. The same terms apply: the Vice Chairman is not subject to the regular election cycle and may be removed by a two-thirds vote of the Board of Directors at a meeting called for that purpose, with notice and an opportunity to be heard.
These bylaws may be amended at the Annual General Meeting (or a special meeting called for the purpose) by a special resolution — a two-thirds majority of votes cast — with reasonable advance notice of the proposed change to members. Amendments must remain consistent with the British Columbia Cornhole Association and Cornhole Canada.
The Club may be dissolved by a special resolution of the members. On dissolution, after settling any debts, remaining assets shall be transferred to the British Columbia Cornhole Association or another not-for-profit cornhole or community organization chosen by the members.
