Bylaws & Governance

Fraser Valley Cornhole ("FVC," "the Club") is a community cornhole club based in Langley, BC, Canada, operating as a league in alignment with the British Columbia Cornhole Association and Cornhole Canada. These bylaws set out how the Club is organized and governed.

1. Name & Status

The name of the club is Fraser Valley Cornhole. The Club is currently incorporated as "BC Cornhole Association" — a name change to Fraser Valley Cornhole is in progress — and is a separate organization from the provincial British Columbia Cornhole Association. The Club is a self-governing, not-for-profit community league run by a volunteer Board of Directors. It operates as a member league under the British Columbia Cornhole Association and abides by the playing rules, regulations, and policies of Cornhole Canada.

2. Purpose & Objectives

Our purpose is to promote the growth, integrity, and enjoyment of cornhole in the Fraser Valley in a welcoming, inclusive, family-friendly environment. Our objectives are to:

• Run regular league nights, tournaments, and community events.
• Grow participation and welcome players of every age and skill level, without discrimination.
• Uphold the rules and standards of the British Columbia Cornhole Association and Cornhole Canada.
• Foster sportsmanship, teamwork, and community connection.
• Steward the Club's finances and equipment responsibly on behalf of members.

3. Alignment with the British Columbia Cornhole Association

The Club operates in alignment with the British Columbia Cornhole Association. Where these bylaws are silent or in conflict, the Articles, Bylaws, Regulations, and Playing Rules of the British Columbia Cornhole Association and Cornhole Canada prevail. The Club will not adopt any bylaw, rule, or policy that conflicts with those of the British Columbia Cornhole Association.

4. Membership

Members

Membership is open to individuals who register with the Club, pay any applicable dues, and agree to abide by these bylaws and the rules of the Club. Members must be Registered Participants of the British Columbia Cornhole Association to compete in sanctioned play.

Rights

• Attend and speak at general meetings.
• Vote in Club elections and on resolutions put to the membership (one member, one vote).
• Participate in league nights, tournaments, and Club events.
• Stand for election to the Board, subject to the eligibility rules below.

Responsibilities

• Follow the playing rules, these bylaws, and the direction of the Board.
• Show good sportsmanship and treat others, and the venue, with respect.
• Keep membership and any dues current.

Resignation, suspension & expulsion

A member may resign at any time in writing. The Board may suspend or expel a member who seriously or repeatedly breaches these bylaws, the playing rules, or the standards of the sport, or who brings the Club into disrepute. The member will be given notice and an opportunity to be heard before the Board makes a final decision.

5. Board of Directors

Composition

The Club is governed by a volunteer Board of Directors made up of the following officers and directors:

• Chairman — an appointed, continuing officer who provides organizational continuity and oversees the wider operation of the Club (see Chairman, below).
• Vice Chairman — an appointed, continuing officer who supports the Chairman in providing continuity and developing the wider operation of the Club (see below).
• President — leads the Club, chairs meetings, and is the primary signing officer.
• Vice-President — supports and, when needed, acts for the President; alternate signing officer.
• Treasurer — stewards the Club's finances, banking, budget, and financial reporting.
• Secretary — keeps records and minutes, handles notices, and maintains the membership roll.
• Director(s) — one or more directors holding a focus such as Marketing, Gear, or Events, as the Board determines.

Eligibility

To serve on the Board, a person must be at least 18 years old, a member of the Club, and free of any conflict of interest with their Board role. No person may hold more than one officer position at a time.

Volunteer service

Board service is voluntary and unpaid. Directors serve without remuneration for their governance role, though they may be reimbursed reasonable expenses and may be compensated for distinct, non-governance work approved by the Board.

Chairman

The Chairman is an appointed, continuing officer who provides organizational continuity and oversees the wider operation of the Club, and works alongside the elected President and officers. The Chairman is not subject to the regular election cycle and provides continuity across terms. The Chairman may be removed by a two-thirds vote of the Board of Directors at a meeting called for that purpose, with notice and an opportunity to be heard.

The Vice Chairman is likewise an appointed, continuing officer who supports the Chairman in providing continuity and developing the wider operation of the Club. The same terms apply: the Vice Chairman is not subject to the regular election cycle and may be removed by a two-thirds vote of the Board of Directors at a meeting called for that purpose, with notice and an opportunity to be heard.

6. Terms & Elections

• Terms: Board members serve two-year terms, aligned to the season (September 1 to August 31).
• Elections: held at the Annual General Meeting by secret ballot of the members. Each member casts one vote per contested seat.
• Nominations: members may be nominated in advance of the AGM; nominees must be willing to serve.
• Vacancies: the Board may appoint a member to fill a vacancy for the remainder of a term, to be confirmed at the next general meeting.
• Results & final allocations: When voting closes, the full Board of Directors — including the Chairman and Vice Chairman — reviews the results together. The Board then makes the final allocation of elected members to seats. Where a member is elected to more than one seat, the Board decides which seat they will fill and seats the next-highest candidate in the other. Director seats are filled by the top vote-getters, up to the number of Director positions open.
• Removal: a director may be removed by a resolution of the members at a meeting called for that purpose, with notice and an opportunity to be heard.

7. Meetings

• Annual General Meeting (AGM): held once each year, with reasonable advance notice to members, to receive reports, approve finances, hold elections, and consider bylaw amendments.
• Special meetings: may be called by the Board, or on the written request of a reasonable proportion of members, to deal with a specific matter.
• Quorum: a quorum for member meetings is 50% of eligible voting members present (in person or online), or such number as the Board reasonably sets and communicates in advance.
• Voting: decisions are made by an ordinary resolution (a majority of votes cast), except where these bylaws require a special resolution (two-thirds of votes cast) — such as amending the bylaws.
• Meetings may be held in person or online, and are run using common meeting practice.

8. Finances

• The Club's fiscal year runs September 1 to August 31.
• The Treasurer maintains the Club's accounts and presents a budget and financial statements at the AGM.
• Revenue may come from dues, event and league fees, tournaments, sponsorships, merchandise, and fundraisers. All funds are used for the purposes of the Club.
• Membership dues and fees are set by the Board and communicated to members.

9. Amendments

These bylaws may be amended at the Annual General Meeting (or a special meeting called for the purpose) by a special resolution — a two-thirds majority of votes cast — with reasonable advance notice of the proposed change to members. Amendments must remain consistent with the British Columbia Cornhole Association and Cornhole Canada.

10. Dissolution

The Club may be dissolved by a special resolution of the members. On dissolution, after settling any debts, remaining assets shall be transferred to the British Columbia Cornhole Association or another not-for-profit cornhole or community organization chosen by the members.
